1. Scope of Service & Territory

  • Business Purpose: NOORAA PARBON provides commercial FMCG product sourcing, supply chain logistics, and specialized business-to-business (B2B) financial credit support tailored for small-to-medium retail store operators.
  • Geographical Limitation: Our platform, inventory fulfillment, and financial facilities operate exclusively within the territorial borders of Bangladesh. Applications from outside Bangladesh will be rejected automatically.

2. Retailer Registration & Account Verification

  • Mandatory Registration: Access to our product catalogs and financial distribution packages requires formal account verification.
  • Accurate Information: Retailers must provide valid business documentation, including an active Trade License issued by local municipal authorities, National ID (NID), Tax Identification Number (TIN), and genuine store location details.
  • Account Security: You are entirely responsible for protecting your account passwords and authorization keys. Sharing credentials with unauthorized third parties is strictly prohibited.
  • Digital Authenticity: Any submission of forged or altered electronic records or licenses constitutes digital forgery and will be prosecuted under Section 22 of the Cyber Security Act, 2023. [1]

3. Financial Support & Credit Terms

  • Credit Eligibility: Financial support packages, deferred payments, and inventory line-of-credits are granted solely at the discretion of NOORAA PARBON following a thorough verification of business performance and credit indicators.
  • Payment Liabilities: Registered Retailers agree to clear all outstanding product balances within the specified billing cycle invoice deadlines. Delays may result in service freezes, penalty fees, or legal recovery proceedings. [1]
  • No Deductions: Payments must be rendered via authorized banking channels or official Mobile Financial Services (MFS) channels without unauthorized deductions, counter-claims, or set-offs. [1]

4. FMCG Sourcing, Orders, and Deliveries

  • Order Acceptance: Digital or agent-driven orders are only deemed binding once NOORAA PARBON issues an official digital invoice or pro-forma order confirmation.
  • Delivery Variations: While we strive for absolute accuracy, delivery times may fluctuate based on supply chain logistics, road conditions, or local disruptions within Bangladesh.
  • Product Inspection: Retailers must inspect all delivered FMCG inventory immediately upon arrival at their shop premises. Claims regarding damaged or short-supplied goods must be filed with our support team within forty-eight (48) hours of receipt. [1, 2]

5. Prohibited Activities

Users are strictly prohibited from:

  • Using the website or platform for any speculative, fraudulent, or deceptive commercial practices.
  • Exploiting our credit or financial infrastructure for personal, non-retail spending.

6. Limitation of Liability

You agree to indemnify, defend, and hold harmless NOORAA PARBON, its directors, and field associates from any claims, losses, liabilities, damages, or costs (including legal fees) resulting from your violation of these Terms, misuse of our financial support options, or submission of fraudulent business documents.


8. Dispute Resolution & Governing Law

  • Governing Law: These Terms shall be interpreted and governed exclusively by the existing commercial and digital laws of the People’s Republic of Bangladesh.
  • Amicable Settlement: In the event of a dispute regarding FMCG supply or credit balances, both parties agree to first seek an amicable mutual settlement.
  • Arbitration: Unresolved corporate disputes shall be referred to formal arbitration in Dhaka, Bangladesh, in compliance with the Arbitration Act, 2001.

9. Modifications to Terms

We reserve the right to revise or amend these Terms & Conditions at any point to align with evolving financial market frameworks or logistical protocols.
